Terms of Service
These Terms govern access to the website, platform products, and services provided by Everwood Tech LLC ("Everwood Tech," "we," "us," or "our"). By using our website or services, you agree to these Terms.

1. Services
Everwood Tech LLC provides software and related technology services for small businesses, including:
- Everwood Booking, appointment scheduling with an AI-assisted chat experience, booking wizard, and embeddable website widget
- Everwood Review Capture, customer-feedback links and QR codes, private feedback routing, and public-review guidance
- Everwood Inbox, an owner-only, read-only view of one connected business Gmail account inside Everwood Business OS
- A business dashboard for appointments, customers, workers, services, feedback, products, and settings
- Related technology, automation, consulting, and support services
Features may be added, changed, or removed as our products evolve. Custom work may be governed by a separate proposal or written agreement.
2. Eligibility and Acceptable Use
You must be at least 18 and legally able to enter a binding agreement. You may use the services only for lawful purposes and in compliance with applicable law.
3. Accounts and Authentication
You agree to provide accurate account information, keep credentials and API keys secure, notify us of suspected unauthorized access, and accept responsibility for activity under your account. We may suspend or terminate accounts that violate these Terms or show signs of unauthorized, abusive, or fraudulent activity.
4. Product Access and Subscriptions
Product access is currently provided free of charge and managed per business account. We may grant, adjust, or remove access and may introduce paid plans later. Pricing and billing terms will be presented before they apply.
API keys and widget access
Some features, including the booking widget, use an account API key. Do not publish or share keys with unauthorized parties. If a key may be compromised, notify us and rotate it through the dashboard.
5. Client Responsibilities
You are responsible for:
- Providing accurate and timely information needed to deliver the services
- Having lawful rights to content, data, systems, and accounts you provide or connect
- Maintaining accurate services, prices, hours, availability, workers, and business policies
- Providing required notices and obtaining required consent from your customers
- Using personal data and the services in compliance with privacy and other applicable laws
- Honoring appointments and reviewing important communications and AI-generated results for accuracy
Review Capture
You must use Review Capture honestly and follow the rules of review platforms you link to. Do not fabricate, manipulate, improperly incentivize, suppress, or misrepresent reviews or feedback.
Embeddable widget
You may embed the booking widget only on sites you own or are authorized to modify. You must provide required privacy notices and must not deploy the widget deceptively or for illegal or harmful activity.
6. Data, Analytics, and AI Features
We may process limited technical and usage data to operate, secure, and improve the service. AI-generated chat responses and scheduling suggestions may be inaccurate or incomplete, so important details should be verified.
Google user data accessed through Everwood Inbox is governed separately by our Privacy Policy's Gmail section. It is not used in Everwood AI features or product analytics.
7. Data Ownership, Export, and Retention
Data you provide or that is collected on your behalf through the platform remains your data. We do not claim ownership of client data stored on the platform.
On request and subject to reasonable technical, security, and legal limits, we will make commercially reasonable efforts to provide an export in a commonly used format.
After termination, data is handled under our Privacy Policy. Some records may remain for security, fraud prevention, audit, operations, backups, disputes, or legal requirements. We do not promise instant deletion from every backup or retained record.
8. Intellectual Property
Unless agreed otherwise in writing, Everwood retains its pre-existing tools, code, frameworks, templates, methods, product software, branding, and underlying technology. After full payment, custom-service clients receive the rights stated in their written agreement.
9. Payments and Fees
Product access is currently free. If paid plans are introduced, applicable prices and billing terms will be presented before they apply. Custom-service fees are governed by the relevant proposal, invoice, or agreement.
10. Maintenance, Support, and Availability
Unless a separate service-level agreement applies, maintenance and support are provided on a reasonable-effort basis. The service may have scheduled or unscheduled downtime for maintenance, updates, security, provider outages, or technical issues. Response times are not guaranteed.
11. Third-Party Integrations and Everwood Inbox
Our products rely on third-party hosting, database, authentication, email, AI, monitoring, network, and automation services. We may also link to external services such as Google and Yelp. Those services remain separate from Everwood and are subject to their own terms, policies, account settings, and availability.
When you enable an integration, you authorize only the access needed for the enabled feature. You represent that you control or are authorized to connect the relevant account and that your use complies with applicable law and organizational policies.
Everwood Inbox
Everwood Inbox connects one Google account per business and requests read-only Gmail access so the business owner can view Gmail threads and messages inside Everwood Business OS. During the current release, only an authorized business owner may connect or access Everwood Inbox.
Everwood Inbox cannot send, reply, forward, archive, delete, star, label, snooze, or otherwise modify Gmail. It does not request attachment bytes. The owner remains responsible for having all legal and organizational permissions needed to connect and view the mailbox.
Gmail messages are loaded on demand. Everwood does not guarantee that every view will reflect mailbox changes immediately or that access will be uninterrupted. Google outages, quotas, API changes, authorization revocation, account settings, or provider policies may interrupt access and require the owner to reconnect.
The Open in Gmail action opens the connected Google mailbox in a new tab and may not open the exact thread. Everwood may suspend, limit, change, or discontinue a third-party integration when reasonably required for security, abuse prevention, law, provider policy, technical changes, or protection of users. We will provide notice when reasonably practicable and required by law.

12. Notifications and Messaging
We currently send transactional notifications such as booking confirmations, reminders, and account messages by email. SMS may be offered later, with required consent and opt-out information before launch.
13. Demo and Test Features
Demos, previews, and test modes are for evaluation, may use sample data, and may not reflect final functionality. Do not rely on them for real customer bookings or live operations.
14. Platform Administration
Everwood maintains administrative tools to operate and secure the platform, provide support, manage product access, and enforce these Terms. Authorized personnel may access account information when reasonably necessary for those purposes or to comply with law.
This does not permit routine human access to Gmail content. Gmail content may be accessed by personnel only with explicit permission for specific data, when necessary for a security or abuse investigation, or when required by law, as described in our Privacy Policy.
15. Prohibited Uses
You may not use the services to:
- Engage in illegal, deceptive, abusive, or fraudulent activity
- Distribute malware or harmful content
- Interfere with systems, networks, or other users
- Circumvent access controls, security measures, or usage limits
- Access, collect, or process personal data without authority or in violation of law
- Share, resell, or transfer keys, accounts, or access to unauthorized parties
16. Disclaimers and Liability
The services are provided "as is" and "as available" to the extent permitted by law. We do not promise uninterrupted or error-free operation, or warrant merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by law, Everwood Tech LLC is not liable for indirect, incidental, consequential, or special damages. Our total liability for a claim will not exceed the amount paid for the specific service giving rise to the claim. Nothing in these Terms excludes rights or liability that cannot lawfully be excluded.
Website guides and educational materials are general information, not professional advice. Technology environments vary, and results cannot be guaranteed.
17. Termination
We may suspend or terminate access for a material Terms violation, non-payment where applicable, security risk, abuse, fraud, or legal requirement. Clients may terminate subject to applicable agreements. Data retention and deletion follow our Privacy Policy.
18. Governing Law
These Terms are governed by the laws of the United States and the State of Oregon, without regard to conflict-of-law principles.
19. Changes to These Terms
We may update these Terms. We will update the date above and provide additional notice when required. Continued use after an update becomes effective constitutes acceptance where permitted by law.
